Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Findmate, LLC, a Delaware corporation operating as FindMate Network ("Company," "we," "us," or "our"), governing your access to and use of our websites, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Services under applicable law
• You have not previously been suspended or removed from our Services

We use advanced technology, including artificial intelligence, to prevent fraudulent signups and maintain community integrity. Attempting to circumvent or deceive our verification systems is a violation of these Terms.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services to harass, abuse, stalk, threaten, or intimidate others

User Content

You retain ownership of your User Content, but by posting it, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and promoting our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and applicable laws

We do not endorse any User Content and are not responsible for any User Content posted by users. We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

Community Guidelines

In addition to these Terms, you agree to abide by any community guidelines or rules that may apply to specific features, communities, or partner organizations within our Services. Violations of community guidelines may result in content removal, account suspension, or termination.

Moderation and Enforcement

We reserve the right, but are not obligated, to monitor, review, and moderate User Content and user activity. We may, in our sole discretion:

• Suspend or terminate user accounts
• Report illegal activity to law enforcement

You may not copy, modify, distribute, sell, lease, or create derivative works based on our Services or any content therein, except as expressly permitted by these Terms.

Third-Party Services

Our Services may contain links to or integrations with third-party websites, applications, or services. We are not responsible for the content, privacy policies, or practices of any third parties. Your interactions with third-party services are governed by their respective terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT SCREEN OR VERIFY USERS BEYOND OUR STATED VERIFICATION PROCESSES AND DO NOT GUARANTEE THE IDENTITY, CONDUCT, OR INTENTIONS OF ANY USER. YOU ASSUME ALL RISKS ASSOCIATED WITH INTERACTING WITH OTHER USERS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FINDMATE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Findmate, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Findmate, LLC regarding the Services.
